Who You Are

\n
• You have 5+ years of corporate paralegal experience
\n
• Bachelor’s degree required; ABA-approved Paralegal Certificate preferred
\n
• Strong understanding of corporate and securities matters, SEC regulations, and transactional processes
\n
• Experience with IPOs, public company matters, or capital markets transactions is a plus
\n
• Proficient with Microsoft Office and research platforms such as Westlaw, LexisNexis, SEC/EDGAR, Carta, or similar tools
\n
• Highly organized with strong research, communication, and project management skills
\n

What You’ll Do

\n
• Support corporate transactions from due diligence and initial documentation through closing
\n
• Prepare and proofread agreements, SEC filings, disclosures, questionnaires, financing statements, and other deal documents
\n
• Coordinate IPO and capital markets activities, including checklists, diligence, filings, and closing materials
\n
• Conduct legal and factual research and organize confidential client and transaction information
\n
• Assist with public company matters, securities reporting, stock exchange filings, and corporate governance materials
\n
• Manage closing processes, working group lists, audit responses, and post-closing documentation
\n

What Success Looks Like

\n
• Complex transactions move efficiently from diligence through closing
\n
• Deal documents and regulatory filings are accurate, complete, and timely
\n
• Attorneys receive proactive, dependable support across multiple active matters
\n
• Transaction details, deadlines, and client information remain organized and carefully managed
\n

Salary Range: $90,000 – 150,000 annually, based on experience

Location: New York, NY – Hybrid
